- 4 things to know
- Paper 3
Overview
Recall questions on exemption clauses and how incorporation, construction and statute control them, the aims of damages, specific performance and injunctions, and the consumer's rights to reject, repair or replacement and a price reduction.
What you need to know
Answer each one before you reveal it.
What is the overarching aim of remedies for breach of contract?
What is an injunction as a contractual remedy?
How do courts construe an exemption clause, and which statute controls them?
Questions from this subtopic
Each one with the model answer underneath.
- 1
What is an exemption clause?
Model answer
A contractual term that seeks to exclude or limit one party's liability for breach of contract or negligence.
- 2
How does incorporation into the contract affect the effectiveness of an exemption clause?
Model answer
The clause must be properly incorporated into the contract—through signature, reasonable notice, or a course of dealing—before it can have any legal effect.
- 3
How does construction of the clause affect the effectiveness of an exemption clause?
Model answer
Courts interpret the wording of the clause; ambiguous terms are construed against the party relying on them (contra proferentem), which may limit the clause's scope.
- 4
How do statutory controls affect the effectiveness of an exemption clause?
Model answer
Legislation such as the Unfair Contract Terms Act 1977 and Consumer Rights Act 2015 may render certain exemption clauses void or subject them to a reasonableness test.
- 5
What tension do exemption clauses create in contract law theory?
Model answer
They raise tensions between freedom of contract (allowing parties to allocate risk) and the need to protect weaker parties from unfair terms.
- 6
What is the overarching aim of remedies for breach of contract?
Model answer
To put the innocent party in the position they would have been in had the contract been performed.
