  1. 1

    What is a joint venture?

    Model answer

A joint venture is an arrangement in which two or more businesses set up a separate legal entity that they jointly own, contributing capital and sharing its risks and profits.

  2. 2

    What is a strategic alliance?

    Model answer

A strategic alliance is an agreement between businesses to co-operate on a particular activity for mutual benefit, while each of them remains fully independent.

  3. 3

State the key structural difference between a joint venture and a strategic alliance.

    Model answer

A joint venture creates a new jointly owned company, whereas a strategic alliance is only a contract between the partners and forms no new business.

  4. 4

Why is a joint venture often needed to enter a foreign market?

    Model answer

Some countries allow foreign firms to operate only through a locally owned partner, and even where they do not, the local partner supplies the market knowledge, contacts and distribution the entrant lacks.

  5. 5

How does a joint venture reduce the risk of developing an expensive new product?

    Model answer

The development cost and any eventual loss are shared between the partners, so each commits less of its own capital than it would developing the product alone.

  6. 6

Give two reasons a joint venture can fail even when both partners are successful businesses.

    Model answer

The partners can fall out over strategy and how profits are shared, and differences in culture and management style can make day-to-day decisions slow and contentious.
