Each one with the model answer underneath.

  1. 1

    What is a sole trader?

    Model answer

A sole trader is a business owned and controlled by one person, who keeps all the profit and is personally responsible for all the debts.

  2. 2

What does unlimited liability mean for the owner of a business?

    Model answer

The owner and the business are the same legal person, so if the business cannot pay its debts the owner's personal assets, including their home and savings, can be taken to settle them.

  3. 3

    Define limited liability.

    Model answer

Limited liability means a shareholder's loss is capped at the amount they have invested or agreed to pay for their shares, and their personal assets cannot be claimed for the company's debts.

  4. 4

    What is meant by incorporation?

    Model answer

Incorporation creates a company that is a separate legal person from its owners, able to own property, enter contracts, sue and be sued in its own name.

  5. 5

How does incorporation give a business continuity that a sole trader lacks?

    Model answer

The company exists independently of its shareholders, so it carries on unchanged when they sell their shares or die, whereas a sole trader business ends with its owner.

  6. 6

How many partners does an ordinary partnership need, and what liability do they carry?

    Model answer

An ordinary partnership needs at least two partners, and each of them has unlimited liability for the debts of the firm.
