Questions from this subtopic
Each one with the model answer underneath.
- 1
Explain how an enforceable promise reduces risk in trade.
Model answer
A party who can sue on a broken promise does not need to insist on immediate exchange, so goods and services can be supplied before payment and business can be done at a distance and over time.
- 2
What are transaction costs, and how does contract law lower them?
Model answer
Transaction costs are the costs of finding a partner, negotiating and policing the deal, and contract law lowers them by supplying default rules and remedies the parties would otherwise have to negotiate for themselves.
- 3
Why is a reliable law of contract a precondition for the extension of credit?
Model answer
A lender parts with money now in return for a promise to repay later, and will only do so where that promise can be enforced against the borrower.
- 4
Give one economic advantage of standard form contracts.
Model answer
They allow a business to make thousands of identical transactions without negotiating each one, which cuts costs and allows lower prices in a mass market.
- 5
Why do commercial parties value certainty in contract law more highly than flexible fairness?
Model answer
A business needs to price risk and plan performance in advance, and it can only do that if it knows how a court will read its contract before any dispute arises.
- 6
Suggest why parties with no connection to this country often choose English law to govern an international contract.
Model answer
English contract law is regarded as predictable and commercially minded, it upholds the parties' allocation of risk, and there is a long body of decided case law from which the answer to most disputes can be worked out.
