Each one with the model answer underneath.
- 1
What is an express term?
Model answer
An express term is one the parties have actually stated in words. Express terms may be agreed orally, in writing, or partly in each way.
- 2
What is the effect of signing a contractual document?
Model answer
L'Estrange v F Graucob Ltd [1934] held that a signature binds the signer to all the terms. The signer is bound even without reading the document.
- 3
What limits the rule that a signature binds?
Model answer
Curtis v Chemical Cleaning and Dyeing Co [1951] refused to allow reliance on a clause misdescribed to the customer. A misrepresentation of the effect of a term prevents the other party relying on it.
- 4
What must a party do to incorporate a term by notice?
Model answer
Parker v South Eastern Railway (1877) required reasonably sufficient steps to bring the term to the other party's attention. Actual knowledge of the term is not required.
- 5
When must notice of a term be given?
Model answer
Olley v Marlborough Court [1949] held that a notice in a hotel bedroom came too late. The contract had already been concluded at the reception desk.
- 6
When is a contract made at an automatic car park?
Model answer
Thornton v Shoe Lane Parking [1971] held that the offer was accepted when money went into the machine. Terms on the ticket issued afterwards were not incorporated.
